Z'HER0 SUBMISSION TERMS AND CONDITIONS
Version 1.0
Originally drafted: 30 August 2026

Status: NOT YET EFFECTIVE
These Submission Terms and Conditions govern formal voluntary creative Submissions made to
Z'HER0 through a designated submission process.
1. Scope, Definitions and Agreement
These Submission Terms and Conditions govern formal voluntary creative material intentionally
submitted to Z'HER0 through a designated submission process. Z'HER0 is an independent game project
operated by Daryl Navora, referred to in these Terms as the "Creator." References to "Z'HER0" refer to
the project and its related development activities and do not imply that Z'HER0 is a separately
incorporated legal entity.
These Terms apply only where an official Z'HER0 process expressly presents or identifies these Terms
and requires you to affirmatively accept the applicable version before the material can be formally
submitted.
A "Submission" means creative material intentionally submitted through that process, including an
equipment concept, equipment-set concept, proposed name, description, artwork, design, lore,
gameplay idea, mechanic, balance suggestion, written material, or other creative material. The website
or interface may describe a Submission as a Suggestion, Entry, proposal, recommendation,
contribution, or another similar label without changing its legal treatment under these Terms.
The person making a Submission is referred to in these Terms as the "Submitter."
By completing a Submission, you confirm that you have read, understood, and affirmatively accepted
the version of these Terms presented to you for that Submission.
Ordinary email, support requests, social-media messages, community discussions, website messages,
account messages, chats, casual feedback, or other communications are not automatically formal
Submissions merely because they contain an idea or creative material. Material sent through another
channel becomes a formal Submission only where Z'HER0 expressly provides a designated process or
specific confirmation that presents or identifies the applicable Terms and requires the necessary
acceptance for that material.
2. Eligibility and Legal Capacity
You must be at least 18 years old and legally capable of entering into these Terms to make a formal
Submission.
Ordinary access to the Z'HER0 website, an account, or other services may be available to a person
under 18 subject to applicable legal requirements, including any required parental or legal-guardian
consent or supervision. Permission to use those ordinary services does not make a person under 18
eligible to make a formal Submission.
By making a Submission, you represent that you are at least 18 years old, possess the legal capacity to
enter into these Terms, have the rights and permissions necessary to provide the Submission, and have
authority to grant the rights described in these Terms.
A false statement concerning age or legal capacity may result in rejection or removal of an Entry,
suspension or termination of submission privileges or an account, and other remedies available under
applicable law. A false age or capacity statement does not by itself create legal capacity or make an
otherwise unenforceable agreement enforceable. Any consequences concerning capacity,
enforceability, restitution, ratification, or other remedies remain subject to applicable law.
3. Ownership of Your Submission
You retain whatever copyright and other intellectual-property rights you legally own in your original
Submission.
Making a Submission does not, by itself, transfer ownership of your original material to the Creator or
Z'HER0. Instead, you grant the license described in Section 4.
Nothing in these Terms grants you ownership of Z'HER0, its pre-existing material, independently
developed material, or material belonging to other submitters or third parties.
4. License Granted for Z'HER0
By making a Submission, you grant the Creator a non-exclusive, worldwide, royalty-free and fully
paid-up license, for the full duration of applicable copyright and related economic rights, to exercise the
rights described in these Terms in connection with Z'HER0 and the Z'HER0 project family.
The license includes the right, to the extent permitted by applicable law, to reproduce, store, review,
evaluate, edit, adapt, translate, modify, rename, redesign, rebalance, arrange, combine, integrate,
display, publish, distribute, communicate to the public, publicly perform where applicable,
commercialize, create derivative works from, incorporate into other material, and otherwise use the
Submission in whole or in part.
These rights may be exercised in connection with the development, testing, operation, publication,
promotion, commercialization and preservation of Z'HER0, including renamed or rebranded versions,
rebuilds, remakes, revivals, successor versions or projects, sequels, expansions, downloadable content,
ports, updates, websites, community materials, promotional materials, audiovisual works, merchandise
and other products or media reasonably related to Z'HER0.
The standard license under these Terms does not extend to completely unrelated current or future
projects of the Creator. Use of a Submission for a completely unrelated project would require another
applicable legal basis or agreement.
The Creator may grant sublicenses where reasonably appropriate to develop, operate, publish,
distribute, promote, support, commercialize, transfer or otherwise exercise the licensed rights in
connection with the Z'HER0 project family.
The licensed rights may also be transferred or assigned, to the extent permitted by applicable law, in
connection with a legitimate transfer of Z'HER0 or relevant project rights or assets, including
incorporation, restructuring, succession, acquisition, merger, project or business sale, or another bona
fide transfer involving the project or the relevant licensed rights.
The license is intended to continue for its stated duration and, to the fullest extent permitted by
applicable law, may not be revoked merely because you later change your mind, delete your account,
unsubscribe from communications, or request deletion of personal information.
Nothing in these Terms is intended to prevent the operation of a right, remedy, invalidity rule,
rescission right, statutory termination right, court order or other legal protection that applicable law
does not permit the parties to exclude.
Because the license is non-exclusive, you generally remain free to use or license material you legally
own, provided doing so does not impair rights already validly granted under these Terms. No royalty or
other payment becomes due merely because the Creator exercises the licensed rights.
5. Modification and Creative Control
You understand that a Submission may be substantially modified. The Creator may change its name,
appearance, artwork, description, lore, statistics, gameplay behavior, balance, equipment slot, theme,
presentation, implementation or relationship with other material.
A Submission may be used completely or partially, combined with other material, transformed, adapted
into something substantially different from the original proposal, replaced, or later removed from
Z'HER0. Making a Submission does not give you approval rights or creative control over its final
implementation.
6. Moral Rights and Consent to Modification
To the extent permitted by applicable law, you expressly consent in advance to the modifications,
adaptations, combinations, transformations, commercialization, publication and other treatments of
your Submission that are authorized by these Terms.
Where applicable law permits a particular moral right to be waived, limited, consented away or subject
to non-assertion, you agree to such treatment only to the extent legally permitted and reasonably
necessary for the Creator to exercise the rights expressly granted under these Terms.
Nothing in this Section is intended to waive, eliminate or restrict a moral right or other protection where
applicable law does not permit that result. This Section does not authorize use outside the license
granted by these Terms.
7. Similar and Independently Developed Material
Z'HER0 is an active creative project. The Creator may already possess or be developing, may later
independently develop, or may receive from another person material that is identical or similar to your
Submission.
Similarities may occur in equipment, names, artwork, themes, mechanics, statistics, abilities, systems,
stories, terminology, concepts or other elements. Your Submission does not give you ownership of
material independently created by the Creator, Z'HER0 or another person merely because that material
resembles your Submission.
To the extent permitted by applicable law, similarity alone does not establish that your Submission was
copied or improperly used. Nothing in this Section removes rights you may have concerning an actual
unauthorized use outside the rights granted under these Terms.
8. No Obligation to Use, Accept or Respond
The Creator is not required to use, accept, publish, develop, preserve indefinitely, provide feedback
about, or include any Submission in Z'HER0.
The Creator may reject, archive, modify, replace, stop developing, remove or discontinue use of a
Submission, subject to applicable law. The Creator is also not required to provide an individualized
explanation concerning why a Submission was or was not used.
Any user-facing status displayed by the website is informational and does not itself modify these Terms
or create a promise of acceptance, implementation, compensation or publication. Received means
Z'HER0 successfully received the Submission. Reviewed means an authorized Z'HER0 reviewer
completed a review. Neither status means accepted, approved, selected, adopted, scheduled,
implemented or used.
9. No Compensation or Business Relationship
Submissions under these Terms are voluntary. Unless the Creator and Submitter expressly enter into a
separate written agreement providing otherwise, making, reviewing, accepting or using a Submission
does not entitle the Submitter to payment, royalties, revenue sharing, wages, prizes, equity, ownership,
reimbursement or other compensation.
A Submission does not create employment, agency, partnership, fiduciary duty, joint venture,
ownership interest or another business relationship between the Submitter and the Creator or Z'HER0.
10. Attribution and Submitter Credit
Making or using a Submission does not automatically guarantee public credit.
Where the Suggestion or Submission interface provides a separate attribution option, you may
authorize the Creator to publicly display the name, username, handle or other display name you
provide in connection with an acknowledged Submission.
Granting attribution permission does not guarantee that attribution will be provided. Declining optional
public attribution does not prevent consideration or use of the Submission under the license granted by
these Terms.
Nothing in this Section is intended to restrict any attribution or authorship right that applicable law does
not permit the parties to waive or limit.
11. Non-Confidentiality
Formal Submissions are not accepted in confidence unless a separate written agreement expressly
provides otherwise.
You should not submit trade secrets, confidential business information, material covered by another
person's non-disclosure agreement, private development material belonging to another project,
unreleased third-party material you are not authorized to disclose, or anything else you are legally
prohibited from providing.
Making a Submission does not, by itself, create a confidentiality, secrecy or fiduciary obligation. This
provision does not override applicable privacy law, a pre-existing confidentiality obligation, a mutually
agreed non-disclosure agreement, trade-secret protection or another protection independently arising
under applicable law.
12. Submitter Representations and Warranties
By making a Submission, you represent and warrant, to the extent applicable, that information you
provide concerning your authority is accurate; you created the Submission or possess the rights and
permissions necessary to submit it; you possess the authority necessary to grant the license in these
Terms; and you have not knowingly submitted material that you are prohibited from providing.
Where third-party authorization is legally necessary for material included in your Submission, you
represent that you have obtained that authorization.
You must not knowingly submit material in violation of another person's intellectual-property rights,
privacy rights, contractual rights, confidentiality obligations or other applicable legal rights. These
representations concern material supplied by you. They do not make you responsible for material
independently added or created by the Creator.
13. Indemnification
To the extent permitted by applicable law, you agree to indemnify the Creator against a third-party
claim and resulting direct, reasonable losses or costs to the extent the claim arises from your material
breach of the representations, warranties or obligations in these Terms, including your knowing
submission of protected material that you were not authorized to provide.
The Creator will provide reasonable notice of a covered claim where reasonably practicable and will not
unreasonably prevent your participation in the defense of a claim for which indemnification is sought.
This Section does not require you to indemnify the Creator for losses caused by the Creator's own fraud,
bad faith, willful misconduct, independent infringement, use outside the license granted by these
Terms, unlawful processing of personal information, or another responsibility that applicable law does
not permit the Creator to exclude or transfer. Nothing in this Section creates indemnification beyond
what applicable law permits.
14. Personal Information and Privacy
Personal information connected with accounts and Submissions is handled separately from the
intellectual-property license established by these Terms.
The applicable Z'HER0 Privacy Notice explains the categories of personal information processed,
purposes and applicable lawful bases, recipients or provider categories, retention, security practices,
international processing where applicable, data-subject rights and privacy contact information.
Accepting these Submission Terms does not constitute consent to every possible processing of personal
information. Where consent is legally required for a particular optional processing activity, that consent
will be requested separately.
Account deletion, privacy requests and the Submission License are legally distinct. Deleting an account
or exercising a privacy right does not automatically revoke a license validly granted for a previous
Submission. At the same time, the existence of a Submission License does not authorize indefinite
retention of personal information that is no longer lawfully necessary.
15. Optional Project Updates
Permission to receive Z'HER0 development updates, news, marketing communications or similar
messages is separate and optional.
Accepting these Terms or making a Submission does not automatically subscribe you to such
communications. Where an update subscription is offered, it will use a separate opt-in mechanism.
Unsubscribing from optional communications does not automatically delete your account, delete a
Submission or revoke a previously granted Submission License. Public attribution permission is also
separate from update subscription.
16. Project Status
Z'HER0 is an independent game project under development. Its design, content, mechanics, features,
platforms, business model, schedule, availability and release plans may change.
Development may be delayed, substantially changed, suspended, discontinued and later revived.
Making a Submission does not guarantee release of Z'HER0, release by a particular date, continued
development, continued use of a Submission or commercial availability of the project.
17. Submission Records and Electronic Acceptance
Acceptance of these Terms may occur electronically.
The Submission process may preserve records reasonably necessary to establish and administer that
acceptance, including the applicable Submission or Entry identifier, account identifier, Terms version,
durable copy or reference to the Terms presented, acceptance event, date and time, 18+ confirmation
and related authentication, integrity or audit records where appropriate.
The Creator may preserve records reasonably necessary to demonstrate the rights granted and the
circumstances of the Submission, subject to the Privacy Notice and applicable law.
A formal Submission cannot be completed through the designated interface unless the required
acceptance and eligibility confirmations have been affirmatively completed.
18. Changes to These Terms
The Creator may publish revised Submission Terms from time to time.
A new Submission is governed by the version of the Terms presented and affirmatively accepted for
that Submission. Publishing a later version does not silently rewrite the Terms previously accepted for
an earlier Submission.
Previously granted rights remain governed by the applicable accepted version unless they are validly
modified under a separate agreement or applicable law provides otherwise.
19. Governing Law
These Terms are governed by the laws of the Republic of the Philippines, without prejudice to
mandatory rights and protections that cannot lawfully be waived.
20. Jurisdiction and Venue
To the extent permitted by applicable law, an action or proceeding arising out of or relating to these
Terms shall be brought before the competent courts in Taguig City, Philippines.
Nothing in this Section excludes a venue, jurisdiction, procedural protection or mandatory right that
applicable law requires to remain available.
21. Severability
If any provision of these Terms is determined to be invalid, illegal or unenforceable, it will be
interpreted or limited to the minimum extent necessary to make it enforceable where legally possible.
If that cannot be done, the affected provision will be severed to the necessary extent and the remaining
provisions will continue in effect to the fullest extent permitted by applicable law.
22. Entire Agreement and Different Arrangements
These Terms constitute the agreement concerning a formal Submission made through the designated
process to which these Terms apply.
Statements, labels or conditions that you insert into a Suggestion, Entry, Submission, message, file or
other communication do not by themselves amend these Terms. For example, writing that a Submission
is "confidential," requires a royalty, requires attribution, or is subject to another condition does not by
itself create that agreement.
A different or additional arrangement applies only where the Creator or an expressly authorized
representative expressly accepts it in writing for the relevant Submission. Where a valid separate
written agreement expressly modifies or supersedes part of these Terms, that agreement controls to
the extent stated.
These Terms do not replace unrelated agreements independently existing between you and the
Creator.
